Matterport Closes SPAC Merger, Raises $640M to Advance Digital Twins

Spatial data company's customer base more than doubled last year; Matterport to begin trading on Nasdaq.

Matterport, whose technology creates 3D digital twins of spaces of all sizes, has completed its special-purpose acquisition company deal and will begin trading on Nasdaq.

Reliable and diverse digital twins are used to train robots for indoor applications ranging from warehouse operations to customer service. Matterport Inc. today announced that it has completed its business combination with Gores Holdings VI, a special-purpose acquisition company (SPAC). The Sunnyvale, Calif.-based company said that it has received nearly $640 million in gross proceeds and that it will be listed as “MTTR” on Nasdaq starting tomorrow.

To capitalize on this extraordinary market opportunity, we plan to increase our investment in our customers’ success, scale innovation and R&D, and accelerate growth through our spatial data platform for the 20 billion spaces around the world.”

The company introduced the Matterport Pro camera about a decade ago, and its digital library is growing by 230,000 sq. ft. per month.

Matterport milestones

With more than 4 billion buildings worldwide, the built world is the largest undisrupted market, with less than 1% digitized, said Matterport. Worth an estimated $230 trillion, the global real estate market is the world’s largest asset class, including commercial, industrial, and residential properties.

The company said its spatial data platform, powered by the Cortex AI deep learning neural network, can transform any physical space into a dimensionally accurate and photorealistic digital twin. More than 330,000 subscribers in over 150 countries have captured data on over 5 million spaces to better access, manage, and understand spaces, from a single property to a global portfolio of buildings.

Matterport said it hosts the largest spatial data library in the world, including more than 10 billion sq. ft. of space and digital twins of all shapes and sizes. The company claimed that its 3D digital twins can improve every part of the building lifecycle, from planning, construction, and operations to documentation, appraisal, and marketing.

In addition, the company touted the following technical innovations and global growth initiatives:

  • A collaboration with Facebook AI that uses Matterport’s 3D indoor scans to help researchers train robots in simulation so they can better understand and interact with the physical world.
  • The release of the Matterport Capture app on the Google Play Store, giving billions of Android users in 175 countries the ability to quickly and easily capture buildings and spaces with compatible 360 cameras and the Matterport Pro2 3D camera.
  • The launch of Matterport Capture Services, an online platform to make it eaiser for both enterprises and individuals to schedule a Matterport capture technician to scan any space.
  • The news that over 50 developers in the past six months joined the Matterport Platform Partner Program to build and commercialize customized apps and integrations across multiple industries.
  • The reporting of record financial and operational results for the quarter ended March 31. Revenue was $26.9 million, up 108% year over year, and Matterport is on track for [A1] annual recurring revenue of $55.2 million. Subscribers increased to 331,000, up 531% year over year.
  • The addition of lidar support for iPhone customers to capitalize on Apple's new depth sensor and increase the fidelity and accuracy of Matterport's digital twins.

Transaction Details

Matterport said it has received approximately $640 million total cash, net of fees and expenses paid in connection with the closing of the merger. This includes approximately $308 million from Gores Holdings VI, net of redemptions.

It also included $295 million in proceeds from financing led by institutional investors including Tiger Global Management LLC, Senator Investment Group, Dragoneer Investment Group, and Fidelity Management & Research Co. In addition, the investment included funds and accounts managed by BlackRock, Miller Value Partners, Darlington Partners, Untitled Investments, and Lux Capital.

Gores Holdings VI is a SPAC sponsored by an affiliate of The Gores Group LLC, which has invested in and operated growth businesses for more than 35 years. The group has been involved in $38 billion worth of deals, including with lidar provider Luminar Technologies Inc.

Gores Holdings VI completed its initial public offering in December 2020, raising approximately $345 million in cash proceeds. The business combination with Matterport was approved at a special meeting of Gores Holdings VI stockholders on July 20.

Deutsche Bank Securities Inc. and Morgan Stanley & Co. acted as financial advisors and joint lead placement agents to Gores Holdings VI. Moelis & Co. also acted as financial advisor, and Weil, Gotshal & Manges LLP acted as legal advisor to Gores Holdings VI.

Credit Suisse Securities (USA) LLC served as financial advisor and capital markets advisor to Matterport and acted as joint lead placement agent on the private investment in public equity (PIPE). Piper Sandler also served as capital markets advisor to Matterport. Latham & Watkins LLP served as legal advisor, and Orrick LLP served as Matterport’s general corporate counsel.

Matterport said that it will provide more information about the transaction in a “current report” on Form 8-K to be filed with the U.S. Securities and Exchange Commission (SEC).

In collaboration with Facebook AI Research, Matterport has released the world's largest dataset of 3D indoor spaces, the Habitat-Matterport 3D Research Dataset (HM3D). It’s a collection of 1,000 Matterport digital twins generated from real-world environments so that researchers can train embodied agents such as home robots and AI assistants to understand and interact with the complexities of the physical world.
